Terms of Use

These Terms of Use ("Terms") govern access to and use of the websites, products, APIs, and services provided by NTrigo Ltd. ("NTrigo", "we", "our", or "us").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the services.

1. Scope of Services

NTrigo provides cybersecurity products and services, including hybrid SaaS solutions with on-device, on-prem, and cloud-based components, intended primarily for business and organizational use.

The services are provided to customers under commercial arrangements and subscription packages agreed separately.

2. Eligibility and Authorized Use

The services are intended for use by businesses, organizations, and their authorized representatives.

You may use the services only:

• For lawful purposes
• In accordance with these Terms
• Within the scope of your purchased subscription or entitlement

3. License

Subject to these Terms and applicable agreements, NTrigo grants you a limited, non-exclusive, non-transferable, revocable license to use the services solely for your internal business purposes.

No ownership rights are transferred.

4. Prohibited Use

You may not:

• Reverse engineer, decompile, or attempt to extract source code
• Circumvent security controls or usage limits
• Use the services to violate applicable laws or regulations
• Resell, sublicense, or make the services available to unauthorized third parties
• Interfere with or disrupt the integrity or performance of the services

5. Customer Responsibilities

You are responsible for:

• Maintaining the security of your systems and environments
• Managing your internal users, configurations, and access controls
• Ensuring your use of the services complies with applicable laws
• Maintaining any logs or records within your own environment

6. Intellectual Property

All rights, title, and interest in the services, software, APIs, documentation, trademarks, and related materials remain the exclusive property of NTrigo or its licensors.

Nothing in these Terms grants you rights to NTrigo intellectual property except as expressly stated.

7. Service Availability and Changes

NTrigo may update, modify, or discontinue parts of the services from time to time.

We do not guarantee uninterrupted or error-free operation of the services.

8. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, NTrigo disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

NTrigo does not warrant that the services will detect or prevent all security threats.

9. Limitation of Liability

To the maximum extent permitted by law:

• NTrigo shall not be liable for indirect, incidental, special, consequential, or punitive damages
• NTrigo's total liability arising out of or related to the services shall not exceed the amounts paid by you to NTrigo for the services during the twelve (12) months preceding the event giving rise to the claim
• Some jurisdictions do not allow certain limitations, so these limitations may not apply in full.

10. Indemnification

You agree to indemnify and hold harmless NTrigo from any claims, damages, losses, or expenses arising out of:

• Your use of the services
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

11. Termination

NTrigo may suspend or terminate access to the services if you materially breach these Terms.

Upon termination, your right to use the services will immediately cease.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bangkok, Thailand.

13. Relationship Between the Parties

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and NTrigo.
